   For clients seeking to form a corporation or LLC, JLF PLLC can act as the incorporating agent.  We review your personal and corporate needs prior to recommending the form of organization best for you.  Please complete the document drafting, organizational documents, books, records, and certificates, process all filing forms with the State, and host the initial shareholder meeting. After formation is complete, we coach the new owners on how to manage the corporate governance process  to stay in compliance with NC corporation statutes.

   For existing corporations, JLF PLLC provides advice and counsel on issuance of additional owner shares, board meeting and board actions, mergers and acquisitions, shareholder disputes, dissolution, and other corporate governance activities.  For limited liability companies, JLF PLLC provides advice and counsel on adding members, member meeting and member actions, mergers and acquisitions, member and manager disputes, dissolution, and other governance activities.
